    Breakup Fee

A breakup fee is a pre-agreed payment made by one party to another if a merger or acquisition deal is terminated under certain conditions. It compensates the affected party for lost time, expenses, and missed opportunities. Breakup fees are often used to discourage parties from withdrawing from the deal without serious cause or to protect against competing offers.
