Also known as: Covenant compliance, Contract obligations, Obligation register
Contractual compliance obligations are the duties an organisation has promised to meet in its contracts, such as loan covenants, service levels and reporting deadlines, together with the work of tracking that they are met.
Explanation
Unlike laws, these duties bind only the parties to the contract, yet breach can bring penalties, termination, default or damages. Common types include financial covenants such as a maximum debt-to-earnings ratio, reporting covenants such as delivering audited accounts within a set number of days, negative covenants that bar further borrowing, service levels, data security terms, audit rights, insurance requirements and limits on subcontracting. Contracts also pass regulatory duties down to suppliers. Teams usually extract each obligation into an obligation register with an owner, due date, evidence and an escalation route, then monitor covenant headroom and track waivers and amendments. Obligations hide inside long documents and are often missed after the deal team moves on, which is why contract management tools are used. Missed obligations tend to surface only when a counterparty calls a default or claims a penalty.
Example
A manufacturer signs a bank loan that requires net debt to stay below three times annual earnings and audited accounts within 120 days of year end. The treasury team loads both into its obligation register with the finance director as owner. In the third quarter, the ratio rises to 2.8 times, leaving little headroom and triggering an escalation and a talk with the bank before any covenant breach occurs.
